David Peer, Esq.
David Peer's practice is focused on commercial transactions, particularly with respect to software-as-a-service, artificial intelligence, and data privacy. David represents some of today's most promising technology start-ups and handles a broad array of legal work on their behalf, including drafting template sales contracts, negotiating customer contracts, reviewing vendor agreements, and providing counsel with respect to strategic partnerships. David is also well versed with respect to data-privacy regulations, especially the California Consumer Privacy Act (CCPA) and other U.S. regulations. David drafts privacy policies, reviews data protection agreements, and provides guidance to assist his clients in their data-privacy compliance efforts.
David has a unique ability to quickly familiarize himself with new subject matters and to communicate highly-technical material in an easily digestible manner. He uses these strengths to better understand his clients’ businesses and to arm his clients with the legal context necessary for them to make fully-informed decisions.
Prior to founding Peer & Hart, David worked in WilmerHale’s patent litigation group, helping to represent some of the largest corporations in the world in high-stakes litigation. David has also litigated cases involving breach of contract, land-use, wrongful termination, and wage & hour claims. While David no longer practices litigation, his earlier experience gives him a unique perspective among transactional attorneys, allowing him to structure deals and policies that minimize the risk of future litigation.

- Represented health-tech SaaS provider in negotiations with major hospital, resulting in multi-year SaaS agreement covering hospital facilities in multiple states, with seven-figure annual contract value.
- Assisted provider of contact-center analytics platform in scaling their sales by developing and negotiating agreements with broker agents and resellers, with an eye towards minimizing channel conflict.
- Prepared low-friction sales agreements, including data protection addendum tailored to machine learning, for SaaS provider with a hybrid hardware/software platform.
- Represented computer vision provider in negotiating a multi-phased strategic partnership with major foreign grocer, including professional services, custom development, equipment deployment, and a marketing partnership.
- Represented online marketplace provider in negotiations with major auto-manufacturer, covering professional services, custom development, SaaS, and home improvement services.
- Developed template agreements to allow online marketplace provider to contract with third party home improvement providers.
- Represented oil and gas company in acquisition of cardlock facility and lubricants distribution business.
